PRE-ORDERS TERMS & CONDITIONS
OVERVIEW
This website is operated by OGT Systems Inc., doing business as Living Vehicle (“Company,” “we,” “us,” or “our”). Through this website, we provide information about our Living Vehicle® travel trailers and off-grid mobile living trailers and offer customers the opportunity to reserve a position in our production queue by placing a preorder
These Preorder Terms and Conditions (“Terms”) govern each preorder submitted to and accepted by Company, including the payment of a preorder deposit, allocation of a production position, and cancellation and refund rights. Please read these Terms carefully before submitting a preorder or authorizing payment. By signing at checkout or otherwise expressly accepting these Terms electronically or in writing, you agree to be bound by them. If you do not agree, do not submit a preorder.
A preorder reserves a production position subject to these Terms. It does not constitute a contract to purchase or sell a trailer, authorize production, or guarantee a particular price, configuration, production date, or delivery date. Your preorder deposit remains fully refundable until a separate Purchase Agreement becomes effective. Any subsequent purchase and manufacture of a trailer will require a Purchase Agreement establishing the final specifications, price, payment obligations, production and delivery terms, warranty coverage, and other conditions of sale.
These Terms should be read together with your preorder confirmation. Our collection and use of personal information are addressed in our separately available Privacy Policy. Any optional consent to marketing communications will be requested separately.
You may review the current version of these Terms on this page. We may revise them for future preorders; however, an accepted preorder remains governed by the version you accepted unless you expressly agree to an amendment. Posting revised Terms does not, by itself, change an existing preorder. Nothing in these Terms limits rights or remedies that applicable law does not permit to be waived.
1 SCOPE AND ACCEPTANCE
For purposes of these Terms, “you” or “Customer” means the individual or legal entity identified as the customer in the preorder submission. A “Unit” means a Living Vehicle travel trailer or off-grid mobile living trailer. Your “Preorder” consists of your request to reserve a position in the applicable production queue and the refundable deposit paid or credited for that purpose (the “Deposit”).
You must be at least 18 years old and legally competent to enter into a binding agreement. If you submit a Preorder on behalf of a legal entity, you represent that you are authorized to bind that entity. You agree to provide accurate, complete, and current customer, contact, and payment information and promptly notify us of material changes.
Submitting a Preorder constitutes your request for Company’s acceptance. Your Preorder becomes effective when Company accepts it and sends a written order confirmation identifying the Customer, selected model or production program, Deposit, acceptance date, and applicable version of these Terms (the “Confirmation”). An automated acknowledgment or payment receipt does not constitute acceptance unless it expressly confirms that Company has accepted your Preorder.
If Company declines your Preorder after collecting payment, Company will notify you and refund the full amount collected in accordance with Section 6. Company’s receipt of payment does not, by itself, obligate Company to accept a Preorder.
2 PREORDER RESERVATION
An accepted Preorder reserves a position in the applicable production queue (a “Production Position”), subject to these Terms. It does not constitute an agreement to purchase or sell a Unit, authorize manufacture of your Unit, convey title to any Unit or materials, or guarantee a particular serial number, production year, delivery date, price, feature, or configuration. Neither party is required to enter into the separate purchase and sale agreement described in Section 8 (the “Purchase Agreement”).
Your Deposit is consideration for our undertaking to administer your Production Position and provide the refund rights stated here. It is not an earned, non-refundable reservation fee. You may elect not to purchase a Unit without forfeiting your Deposit before the Purchase Agreement becomes effective. We may plan manufacturing capacity and supplier needs during the preorder stage, but those activities do not authorize additional charges or reduce your refund rights.
3 MODELS AND DEPOSITS
Unless a different amount is expressly disclosed and accepted before payment, the required Deposits are as follows. All amounts are in United States dollars.
|
Model |
Refundable Deposit |
|
LV24 and LV24 PRO |
$500 |
|
LV28 and LV28 PRO |
$500 |
|
LV28 PRO Obsidian Edition |
$5,000 |
The model designation at the preorder stage records your current preference. Final model, trim, options, and specifications will be selected before signing the Purchase Agreement. Availability and queue consequences of changing models are addressed in Section 4. Any limited-edition designation or individually numbered Unit must be expressly confirmed by us; paying a Deposit does not, by itself, guarantee availability within a limited run.
We charge only the amount you expressly authorize at checkout. A Preorder does not authorize recurring payments, production installments, or automatic charges for the remaining purchase price. Deposits bear no interest except where required by law. These Terms do not establish an escrow or trust account; we will comply with any applicable legal requirement concerning customer deposits. No security interest in a Unit or Company property arises from a Preorder.
If we approve conversion of an earlier reservation, the Confirmation will identify the amount credited from that reservation, any additional payment, and the total Deposit. We will not count the same payment twice. Any credited reservation amount becomes subject to the refund provisions of these Terms upon the accepted conversion. Prior reservation dates do not establish preorder priority unless we expressly confirm otherwise in writing. These Terms do not otherwise retroactively amend an earlier reservation agreement.
4 PRODUCTION PRIORITY AND CHANGES
Within the applicable model and production program, priority is generally determined by the date and time we accept your completed Preorder with the required Deposit, including any approved reservation credit. We will identify your Production Position or its priority date in the Confirmation. A position in one program does not establish priority over customers in another program. Different models and trims may open for production at different times.
We may reasonably adjust sequencing for component availability, engineering readiness, regulatory requirements, manufacturing efficiency, or comparable operational needs. We will use reasonable efforts to preserve relative priority among similarly situated customers and notify you of a material change affecting your Production Position or communicated production estimate. Sequencing flexibility does not authorize us to disregard applicable law or retain a Deposit after cancellation.
You may request a change of model or trim by contacting us. Before implementing a change, we will tell you whether it changes your required Deposit, availability, or Production Position. Any additional payment requires your express authorization; any reduction in the required Deposit will be refunded under Section 6. Your existing position remains in place until you accept the change, unless the existing program has been discontinued or your Preorder is otherwise cancelled under these Terms. Entry into a different production program, including the Obsidian Edition, may require a new priority date.
Your Production Position may not be sold, transferred, pledged, or assigned without our written consent. We may permit a transfer to a spouse, family member, trust, or affiliate entity, subject to verification and the transferee’s express acceptance of these Terms. A transfer does not change priority unless expressly agreed. No permitted transfer releases an existing obligation unless we expressly agree in writing.
5 PRICING SPECIFICATIONS AND PRODUCT INFORMATION
Advertised prices are projected starting prices unless expressly identified as a binding price commitment in a writing accepted by both parties. A Preorder does not lock in a price. Final pricing depends on the model, trim, configuration, options, materials, and terms agreed in the Purchase Agreement. You will be responsible for all taxes, registration, title, transportation, insurance, financing, and other charges as identified in the Purchase Agreement. No such additional charge is due solely because you place a Preorder.
Models remain subject to development. Illustrations, renderings, prototypes, floor plans, dimensions, weights, capacities, equipment, colors, and advertised options may be preliminary or depict optional equipment. We may change products before the Purchase Agreement is signed, and we will disclose material changes relevant to your selection before requesting that you sign. If you do not wish to proceed with the then-available product or price, you may cancel and receive a full refund.
Energy generation, battery endurance, water generation or recycling, temperature control, towing suitability, and duration of off-grid use depend on configuration, weather, humidity, operating conditions, maintenance, and usage. General performance descriptions are not a promise of a particular result under all conditions. You should review final specifications, operating limitations, towing requirements, and applicable warranty terms before purchasing.
If we discover a material pricing, model, availability, or payment error, we will notify you and offer a correction for your express acceptance or cancel and refund the Preorder.
6 CANCELLATION AND REFUND
You may cancel at any time before the Purchase Agreement becomes effective by emailing hello@livingvehicle.com or using any cancellation method provided in your Confirmation. Include your name and preorder number, if available, so we can identify the transaction. No explanation is required. A request is effective when received.
Upon cancellation, we will refund the entire Deposit, including any prior reservation payment credited to it, without deducting administration, engineering, cancellation, or payment processing fees. We will issue the refund within seven business days after the cancellation becomes effective, or sooner if required by applicable law. Business days exclude Saturdays, Sundays, and United States federal holidays. We will normally refund the original payment method. If that method is unavailable, we will arrange another lawful method promptly and within applicable deadlines. Your financial institution may require additional time to display a refund. We are not responsible for delays caused by third parties or your financial institution.
Cancellation releases your Production Position. A later Preorder receives a new priority date unless we expressly agree otherwise. Once the Purchase Agreement becomes effective, the Deposit will be credited in full toward the purchase price and its treatment will be governed by that agreement, subject to applicable law. Merely sending you a proposed Purchase Agreement, beginning discussions, or requesting specifications does not terminate your refund rights under these Terms.
7 COMPANY CANCELLATIONS
We may cancel an accepted Preorder upon written notice if we discontinue or cannot reasonably proceed with the selected program, cannot lawfully fulfill the proposed transaction, cannot obtain needed customer information after reasonable requests, discover a materially false submission or unauthorized payment, or cannot reach agreement on a Purchase Agreement. Any cancellation under this section entitles you to the full refund described in Section 6. We will not retain the Deposit as a penalty for failure to purchase or customer default at the preorder stage.
When we are ready to offer a production opportunity, we will send a complete proposed Purchase Agreement and the material pricing, specifications, warranty information, and proposed schedule needed for your review. Unless we agree to an extension, you have 60 calendar days after receipt to enter into that agreement. We will send a reminder at least 10 calendar days before the deadline. If you do not proceed, we may cancel by written notice, release your Production Position, and automatically refund your Deposit. Silence does not authorize production, additional charges, or conversion to a nonrefundable deposit.
Termination ends future obligations relating to the Production Position but does not extinguish accrued refund obligations, claims, or rights that survive under applicable law. The limitations and general provisions of these Terms survive only to the extent relevant to such matters.
8 PURCHASE AGREEMENT; PRODUCTION AND DELIVERY
Before production of your Unit begins, both parties must sign the Purchase Agreement, and any conditions stated there must be satisfied. That agreement will establish the final model and specifications, price, payment milestones, treatment of deposits after signing, change orders, production and delivery estimates, inspection and acceptance procedures, transportation arrangements, transfer of title and risk of loss, warranty coverage, and remedies. Those purchase obligations are not created by a Preorder.
We do not guarantee that a model will enter production or that a Unit will be delivered on a particular date under these Terms. Any roadmap, production year, queue estimate, or projected delivery window is preliminary unless expressly made a binding commitment in an applicable agreement. We will communicate material known changes affecting your Preorder. You should not incur non-refundable travel, towing, financing, housing, or other expenses in reliance on preliminary estimates.
Supply interruptions, component shortages, engineering changes, labor disruptions, fires, natural disasters, governmental actions, and other events beyond our reasonable control may affect development and scheduling. Such events do not eliminate your cancellation or refund rights. To the extent your transaction is subject to shipment deadlines, delay notices, consent requirements, or refund requirements imposed by law, we will comply with those requirements. These Terms do not constitute advance consent to an indefinite shipping delay or waive a mandatory shipment deadline.
9 WARRANTY INFORMATION
A Preorder does not itself provide a warranty on a Unit or establish a warranty start date. Before you sign the Purchase Agreement, we will make the applicable written warranty terms available for review, including any coverage separately provided by component manufacturers. Warranty duration, covered components, exclusions, maintenance requirements, claim procedures, and any special limited-edition coverage will be addressed in those warranty documents and the Purchase Agreement.
Any advertised “lifetime” warranty, including roof or chassis coverage, must be understood with the written definition of the applicable lifetime and the coverage conditions provided before purchase. These Terms neither create unrestricted lifetime coverage nor eliminate a warranty or remedy that advertising, a separate agreement, or applicable law makes enforceable. We do not use these preorder Terms to disclaim implied warranties on a Unit or restrict nonwaivable consumer warranty rights.
10 INTELLECTUAL PROPERTY
Any Company materials shared with you remain owned by Company or its respective licensors, including designs, engineering drawings, CAD files, software, processes, trademarks, and proprietary technical information. You may retain and use materials lawfully provided to you to evaluate the contemplated purchase and for your personal records. A Preorder does not transfer intellectual property ownership or grant rights to commercially reproduce, manufacture from, or exploit our proprietary materials. This section does not restrict lawful reviews, disclosures to your professional advisers, or other legally protected activity. Your independently owned materials remain yours unless separately agreed in writing.
11 LIMITATION OF LIABILITY AND PRESERVED RIGHTS
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COMPANY WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR COSTS OF SUBSTITUTE HOUSING, TRAVEL, OR FINANCING ARISING FROM A PREORDER OR PRELIMINARY PRODUCTION ESTIMATE. SUBJECT TO THE EXCEPTIONS BELOW, COMPANY’S TOTAL LIABILITY ARISING FROM THE PREORDER WILL NOT EXCEED THE TOTAL DEPOSIT PAID OR CREDITED FOR THAT PREORDER.
THESE LIMITS DO NOT APPLY TO REFUND OBLIGATIONS, FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, LIABILITY FOR PERSONAL INJURY OR DEATH, OR ANY LIABILITY, DAMAGES, STATUTORY REMEDIES, OR ATTORNEY FEES THAT APPLICABLE LAW DOES NOT PERMIT TO BE EXCLUDED OR LIMITED. NOTHING IN THESE TERMS WAIVES NONWAIVABLE CONSUMER RIGHTS OR LIMITS PRODUCT LIABILITY OR WARRANTY RIGHTS ARISING FROM A SUBSEQUENT PURCHASE. IF A LIMIT IS UNENFORCEABLE, IT APPLIES ONLY TO THE EXTENT PERMITTED BY LAW.
12 ELECTRONIC RECORDS; NOTICES; PRIVACY
We will send Confirmations, proposed agreements, schedule updates, and cancellation notices to the email address you provide. Keep that address current and contact us if you believe a notice was not received. Where receipt starts a contractual period, sending alone does not establish receipt if we know the message was undeliverable. Mandatory notices will be delivered in the manner required by law. Electronic signatures and records may be used to the extent permitted by applicable law; we will obtain any additional consent or provide any alternative delivery required for legally mandated consumer disclosures.
You may download or print these Terms and request a copy of the accepted version from us. We handle personal information in accordance with our separately available Privacy Policy. Placing a Preorder authorizes communications needed to administer the transaction, but does not by itself constitute consent to promotional texts, automated marketing calls, or other communications requiring separate consent. Any optional marketing or SMS consent will be requested separately and will not be a condition of placing a Preorder.
13 GOVERNING LAW AND DISPUTES
These Terms are governed by California law, without applying conflict-of-laws rules, except that mandatory protections of your place of residence apply where required by law. Subject to any mandatory right to bring proceedings elsewhere, disputes may be brought in the state courts in Los Angeles County, California, or the federal courts serving that county if federal jurisdiction exists. Nothing restricts your right to use an otherwise available small claims court, contact a regulator, or exercise a nonwaivable statutory remedy. These Terms do not require arbitration or waive jury trial or class proceedings.
You may contact us to seek an informal resolution before commencing proceedings, but doing so is not a prerequisite to asserting a claim and does not shorten any filing period. No contractual limitation period or prevailing-party attorney fee obligation is created by these Terms.
14 ENTIRE AGREEMENT; AMENDMENTS
These Terms and the Confirmation constitute the agreement concerning your Preorder. The Confirmation may identify transaction-specific details but does not alter your refund rights or other substantive provisions unless the change is expressly identified and separately accepted by both parties. These Terms control over conflicting general website terms as to the Preorder. They do not supersede separate privacy disclosures, independently enforceable representations, or rights protected by law.
We may revise these Terms for future Preorders. Your Preorder remains subject to the version you accepted unless you expressly accept an amendment. Posting an update or your silence does not amend an existing Preorder. The later Purchase Agreement governs the purchase and production of the Unit and supersedes these Terms only to the extent it expressly addresses the same subject; accrued rights remain enforceable unless lawfully resolved.
A failure or delay in enforcing a provision is not a waiver. If a provision is unenforceable, the remaining provisions remain effective to the extent the agreement can lawfully operate. Neither party may assign these Terms without the other’s written consent, except that Company may assign them in connection with a merger or sale of the relevant business if the successor assumes all obligations, including refunds, and your statutory rights are preserved. Such assignment does not itself release Company from accrued liabilities. No third party is an intended beneficiary.
